Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you") and ProStackNG Technologies ("ProStackNG", "we", "us"), a company registered in Port Harcourt, Rivers State, Nigeria.

By accessing or using ProStackNG CRM (the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

ProStackNG CRM is a cloud-based enterprise resource planning (ERP) and customer relationship management (CRM) platform designed for African small and medium-sized enterprises (SMEs). The Service includes modules for:

• Customer relationship management (CRM) and sales pipeline
• Accounting and financial management (double-entry bookkeeping)
• Inventory and stock management
• Human resources and payroll management
• Project management and time tracking
• Business intelligence and reporting

We reserve the right to modify, suspend, or discontinue any aspect of the Service with reasonable notice.

Eligibility: You must be at least 18 years old and legally capable of entering into binding contracts to use the Service.

Account Accuracy: You agree to provide accurate, current, and complete information during registration and to update that information as necessary.

Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must immediately notify us at security@prostackng.com.ng of any unauthorized use.

One Account per Business: Each business entity may only have one active subscription. Creating duplicate accounts to circumvent plan limits is prohibited.

ProStackNG CRM is offered on a subscription basis with the following plans:

• Starter: ₦15,000/month or ₦162,000/year
• Professional: ₦45,000/month or ₦486,000/year
• Enterprise: ₦150,000/month or ₦1,620,000/year

Free Trial: New accounts receive a 14-day free trial with full Professional plan access. No credit card is required to start a trial. At the end of the trial, you must subscribe to continue using the Service.

Billing: Subscriptions are billed in advance for the chosen billing cycle (monthly or yearly). All prices are in Nigerian Naira (₦) and are exclusive of applicable taxes.

Payment Processing: All payments are processed securely through Paystack. ProStackNG does not store your card details. By providing payment information, you authorize us to charge the applicable subscription fees.

Failed Payments: If a payment fails, we will attempt to charge your payment method up to 3 times over 3 days. After 3 failed attempts, your account will be suspended (read-only mode). You will have 30 days to update your payment information before account deletion is initiated.

Cancellation: You may cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of your current billing period. You will retain access until the end of the paid period.

Refunds: Monthly subscriptions are non-refundable. For annual subscriptions, we offer a pro-rated refund for unused complete months if you cancel within 30 days of payment. Please refer to our Payment Policy for full details.

No Refund for Trial: The 14-day free trial is provided at no cost; there is nothing to refund.

Your Data: You own all data you input into the Service ("Customer Data"). ProStackNG does not sell, rent, or share your Customer Data with third parties for marketing purposes.

Data Processing: We process Customer Data solely to provide and improve the Service. By using the Service, you grant ProStackNG a limited license to process your data for this purpose.

Data Export: You may export your Customer Data at any time in standard formats (CSV, Excel, PDF). Upon account termination, you have 30 days to export your data before it is permanently deleted.

Privacy: Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You agree not to use the Service to:

• Violate any applicable local, Nigerian, or international laws or regulations
• Process illegal transactions or facilitate money laundering
• Upload or transmit malicious code, viruses, or harmful software
• Attempt to gain unauthorized access to other tenants' data
• Engage in excessive API usage that degrades service performance for others
• Resell or sublicense the Service without our written consent
• Reverse engineer, decompile, or disassemble the Service
• Use automated tools to scrape or extract data in bulk

Violation of this policy may result in immediate account suspension without refund.

Uptime Target: We target 99.9% monthly uptime for the Service, excluding scheduled maintenance windows.

Maintenance: Scheduled maintenance will be announced at least 24 hours in advance. Emergency maintenance may occur without notice.

No Guarantee: While we strive for maximum availability, we do not guarantee uninterrupted access to the Service and are not liable for downtime caused by factors outside our reasonable control.

The Service, including all software, designs, content, and documentation, is owned by ProStackNG Technologies and protected by Nigerian and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription period for your internal business purposes.

The "ProStackNG" name, logo, and all associated branding are trademarks of ProStackNG Technologies and may not be used without our written permission.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROSTACKNG TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless ProStackNG Technologies, its officers, directors, employees, and agents from any claims, losses, damages, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or violation of any third-party rights.

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Any disputes arising from these Terms or use of the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to arbitration in Port Harcourt, Rivers State, Nigeria.

We may modify these Terms at any time. We will provide at least 30 days' notice of material changes via email and in-app notification. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
